Terms of Service

These Terms of Service (“Terms” or “Agreement”) govern your access to and use of the website ViralGrade.com, related applications, and all services provided by ViralGrade (“ViralGrade,” “we,” “us,” or “our”). By using or accessing the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years of age to access or use the Services. By using the Services, you represent and warrant that you meet this requirement and have the right and authority to enter into this Agreement.

2. User Conduct

You agree to use the Services only for lawful purposes. You agree not to upload, transmit, or share content that is unlawful, harmful, defamatory, obscene, hateful, invasive of privacy, or otherwise objectionable. You also agree not to interfere with or disrupt the Services or attempt to gain unauthorized access to any systems.

3. User Content

You retain full ownership of all videos, images, text, and other materials that you upload or submit (“User Content”). By submitting User Content, you grant ViralGrade a worldwide, perpetual, irrevocable, royalty-free, transferable, and sublicensable license to use, process, analyze, reproduce, modify, distribute, display, and create derivative works from that User Content for purposes including operating, maintaining, improving, researching, and developing the Services and related technologies, including in aggregated or anonymized form.

4. Intellectual Property

All intellectual property rights in and to the Services (including software, design, and trademarks) are owned by ViralGrade or its licensors. Nothing grants you ownership except your User Content.

5. Payments

Some features require payment. All prices are listed on the Site and may change. Payments are processed securely by third-party providers. All payments are final and non-refundable unless required by law.

6. Disclaimers

The Services are provided “as is” and “as available” without warranty of any kind. ViralGrade does not guarantee uninterrupted or error-free operation.

7. Limitation of Liability

To the maximum extent permitted by law, ViralGrade and its affiliates shall have no liability whatsoever for any damages of any kind arising out of or related to your use of the Services. You use the Services at your own risk.

8. Dispute Resolution and Arbitration

You and ViralGrade agree that any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Services will be resolved through binding individual arbitration administered by JAMS (Judicial Arbitration and Mediation Services) in accordance with its rules.

You and ViralGrade waive any right to a jury trial and to participate in a class action. Arbitration shall be conducted in New York, New York, in English, unless both parties agree otherwise. Each party shall bear its own costs, and the arbitrator’s fees shall be allocated in accordance with the JAMS rules. This arbitration agreement shall survive termination of these Terms.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which ViralGrade Inc. is registered, without regard to its conflict of law provisions.
